The Platform, Resolutions, and Bylaws Committee is recommending a corrective amendment to our Bylaws.

At our Feb. 24 Executive Board meeting, Bylaw § 7.1 (Purpose and Powers of the Executive Board) was amended to read as follows:

The Executive Board is the administrative body for the KCDCC and acts on behalf of the KCDCC in all matters between its biennial reorganization meetings. The Executive Board shall thus have all powers and carry out all duties delegated to itKCDCC by the Washington State statutes, the KCDCC, and charters and bylaws of the National,and State, and County Democratic Parties.

It was thereafter pointed out by First Vice-Chair Omaha Sternberg that the new wording could perhaps be construed as depriving the full KCDCC (consisting of all Democratic PCOs in the county) of any and all powers other than at its prescribed "reorganization" meetings. This was never the intent of the PRB Committee, which had recommended the above wording to confirm what the Executive Board is authorized and expected to do, and not to diminish in any way the residual powers of the full KCDCC.

To resolve this unintended ambiguity, Omaha consulted at length with WSD attorney David McDonald and proposed that § 7.1 be amended by deleting four words and adding seven. Her intended deletions and additions are as follows: are shown below in strikethrough, and her additions in bold:

Article VII:  KCDCC Executive Board

Section 7.1:  Purpose and Powers of the Executive Board

The Executive Board is the administrative body for the KCDCC and acts can act on behalf of the KCDCC in all matters between its biennial reorganization meetings. The Executive Board shall thus have is thus authorized to exercise all powers and carry out all duties delegated to KCDCC by the Washington State statutes, and charters and bylaws of the National and State Democratic Parties.

The PRB Committee wholeheartedly concurs with the above recommendation, and moves its adoption by the Executive Board.
